LIMITED LICENSE FOR RESTRICTED CONTENT AND MATERIALS

Under A Foot Plant Company ("UAFPC") provides its Authorized STEPABLES® Dealers with access to additional Content and Materials not available to standard www.STEPABLES.com website users (the "Restricted Content and Materials"). The Restricted Content and Materials currently consist of the following: STEPABLES® clip art, high resolution STEPABLES® plant photos; STEPABLES® plant profiles, and the STEPABLES® Newsletter. Additional Restricted Content and Materials may be added in the future, all subject to the limited non-exclusive license terms specified below.

I acknowledge and agree to the terms of UAFPC’s limited, non-exclusive license to download, print, reproduce, publish and/or display any or all of the Restricted Content and Materials, subject to the following conditions:

1) The Restricted Content and Materials may be used solely for the limited purposes of providing STEPABLES® product support and information to retail customers and/or training Authorized STEPABLES® Dealer staff/employees;
2) The Restricted Content and Materials may not be used to prepare and/or produce unauthorized display materials and signs, and I agree to purchase or obtain authorized STEPABLES® promotional materials from UAFPC and/or an Authorized Distributor;
3) I agree to provide UAFPC with a copy of any newsletter or publication incorporating any Restricted Content and Materials for UAFPC’s archives and for its subsequent republication in its STEPABLES® Newsletter, website or authorized publication.
4) I acknowledge the ownership of the STEPABLE® Trademarks and Copyrighted Materials by UAFPC, agree to properly include a notice, credit or legend confirming UAFPC's ownership of the same, agree that I will do nothing inconsistent with UAFPC's ownership of the same, agree that nothing in this Agreement shall give me any rights, title, or interest in the Trademarks or Copyrighted Materials other than the right to use them in accordance with this Limited License, and agree that I will not attack the title of UAFPC to the Trademarks and Copyrighted Materials or attack the validity of this Limited License.

I also acknowledge and agree that any lists and/or profile of UAFPC’s Authorized STEPABLES® Dealers and/or current availability lists of STEPABLE® plants may only be downloaded, printed, and displayed to my staff and employees. THIS AUTHORIZED DEALER INFORMATION IS A TRADE SECRET OF UAFPC AND/OR ITS AUTHORIZED STEPABLES® DISTRIBUTORS. I AGREE THAT I WILL ONLY DISCLOSE THIS INFORMATION TO THOSE EMPLOYEES OR AGENTS WHO NEED ACCESS TO THE TRADE SECRETS TO CARRY OUT MY BUSINESS. I further agree to immediately report to UAFPC any threatened or identified breach, so that UAFPC may protect its trade secrets.
